Governance Officer & Assistant Company Secretary

About the role
This role will ensure the delivery of effective governance support and company secretarial services that is aligned with the strategic direction of the Bank, the priorities of the CEO, and the needs of the Board.
Who are you?
You will demonstrate the ability to manage competing priorities with flexibility and composure, and the confidence to engage at executive and board level. This will ensure that the Board operates in an efficient, and compliant manner and enables the Executive to effectively engage with the Board.
You will have governance, company secretarial and/or or legal support experience that will enable you to deliver professional support to the Board. You will ensure the Board has the appropriate governance structures and processes in place and deliver governance uplift initiatives.
You will require exceptional organisational, administrative and communication skills, with attention to detail to maintain Board operating rhythms, meeting schedules, agendas, minute taking, logistics and run sheets. You’ll also take ownership for the governance recording keeping including company records, approved policies and delegations.
In this role, you can expect to:
- Assist the Company Secretary to deliver a forward-looking strategic work programme for Board activity that is aligned with business priorities.
- Deliver day-to-day governance operations and company secretarial services for all Board and Committee meetings and related activity
- Schedule, produce and file mandatory regulatory reporting associated with the Board
- Maintain the Financial Delegations Framework and records.
- Work collaboratively in this close-knit team with a Governance Administrator, reporting to the Head of Governance and Company Secretary.
We are looking for candidates who have:
- 5+ years’ experience in a governance, company secretary or legal support role.
- Broad technical experience and a proven ability to provide professional support and develop and maintain sound systems across governance matters.
- Experience in banking or a legal environment is highly desirable.
- Previous work experience within a corporate environment, ideally within financial services.
